Terms & Conditions TerraQuants.

These Terms apply to the use of the TerraQuants website, application, dashboards, research, data, signals, portfolio tools, alerts, APIs, webhooks, newsletters and other services.

1. Business details

These Terms & Conditions ("Terms") apply to the use of the website, application, dashboards, research, data, signals, portfolio tools, alerts, APIs, webhooks, newsletters and other services of TerraQuants.

Where these Terms use "TerraQuants", "we", "us" or "our", this refers to the provider named above.

2. Definitions

In these Terms, the following terms have the meanings set out below:

Account: the user account through which a user gains access to the TerraQuants services.

User / you: any person or organisation that uses the website, app, data, research, signals, API or other services of TerraQuants.

Consumer: a natural person acting for purposes outside his or her trade, business or profession.

Business user: a user acting on behalf of or for a business, fund, research desk, investment vehicle, institution or other professional organisation.

Platform: the TerraQuants web application, dashboards, portfolio tools, risk analytics, research, alerts, APIs, webhooks and related functionalities.

Content: all text, research, signals, indicators, models, charts, dashboards, software, data, code, documentation, newsletters, visuals and other materials of TerraQuants.

Subscription: a paid or free plan that provides access to certain functionalities of TerraQuants.

Crypto-assets: digital assets, tokens, coins, stablecoins, DeFi assets, NFTs or other blockchain-related assets about which the Platform may display information.

3. Applicability and acceptance

These Terms apply to every use of TerraQuants, including visiting the website, creating an account, participating in a beta or waitlist, receiving newsletters, using research, purchasing a subscription and using APIs or webhooks.

By using TerraQuants or creating an account, you agree to these Terms. If you use TerraQuants on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

Any deviating terms of users do not apply unless TerraQuants has expressly accepted them in writing.

4. Description of the service

TerraQuants offers a crypto-intelligence and market-research platform that allows users to view market structure, on-chain indicators, risk indicators, portfolio information, dashboards, alerts, research and other data-driven insights.

The exact functionalities depend on the selected plan, the availability of data providers, technical integrations, beta status and any additional arrangements.

TerraQuants may modify, improve, temporarily restrict or discontinue functionalities where this is necessary for security, reliability, product development, compliance, commercial reasons or changes by external data providers.

5. No financial, investment, legal or tax advice

All information, dashboards, signals, risk scores, models, research, alerts, charts, indicators and other output of TerraQuants are intended solely for general informational, research and analytical purposes.

TerraQuants does not provide personal investment advice, financial advice, legal advice, tax advice, asset management, portfolio management, brokerage services, trade execution, custody, exchange services or other regulated financial or crypto-asset services, unless this is expressly confirmed in writing and TerraQuants holds the required licences, registrations or exemptions.

No information from TerraQuants may be understood as a recommendation to buy, sell, hold or avoid any specific crypto-asset, token, security, financial instrument or other investment.

Users are fully responsible for their own research, decisions, transactions, risk management, tax position and compliance with laws and regulations.

6. Crypto risks

Crypto-assets are highly volatile and may quickly decrease in value or become entirely worthless. On-chain data, market signals, technical indicators, historical patterns and risk scores do not guarantee future performance.

Users acknowledge, among other things, the following risks:

  • crypto-assets may fluctuate significantly in price;
  • markets may be illiquid, manipulated or technically disrupted;
  • blockchains, wallets, exchanges, smart contracts and bridges may fail or be hacked;
  • regulation may change;
  • historical data and models may be incomplete, delayed or inaccurate;
  • alerts may be received late, not at all or incorrectly;
  • users may lose their entire investment.

TerraQuants does not guarantee returns, profit, risk reduction, accuracy, uptime, real-time delivery or suitability of information for any specific purpose.

7. Account registration and access

Certain functionalities require an account. You must provide accurate, current and complete information and keep this information up to date.

You are responsible for maintaining the confidentiality of your login credentials, API keys, webhook secrets and other access credentials. You may not share, resell, rent out or otherwise make your account available to third parties without TerraQuants' prior written consent.

You must immediately inform TerraQuants of any suspected unauthorised access, data breach, misuse or loss of credentials.

TerraQuants may introduce reasonable security measures, such as email verification, multi-factor authentication, rate limits, IP checks or temporary blocking in the event of suspicious activity.

8. Access requirements and age

You may use TerraQuants only if you are legally capable of entering into an agreement. Consumers must be at least 18 years old, unless a higher minimum age applies in their country.

You may not use TerraQuants if this is prohibited under applicable law, sanctions rules, export controls, financial regulations or other rules that apply to you or TerraQuants.

9. Beta, waitlist and early access

TerraQuants may offer beta, pilot, waitlist or early-access functionalities. These functionalities may be incomplete, experimental or temporary.

Beta functionalities are provided "as is" and may contain bugs, delays, errors, data limitations or security risks. TerraQuants may change, restrict or terminate beta access at any time.

Participation in a beta or waitlist does not entitle you to future access, specific functionalities, pricing or availability.

10. Subscriptions, plans and prices

TerraQuants may offer free and paid plans. The current functionalities, limitations, prices, billing period and included services are displayed on the website, in the app or during checkout.

Prices are inclusive of VAT for consumers, unless stated otherwise. For business users, prices may be displayed exclusive of VAT where this is clearly indicated.

TerraQuants may change prices. For existing paid subscriptions, a price change will be announced in advance. If you do not agree to a price change, you may terminate the subscription before the change takes effect.

11. Payment and invoicing

Payment takes place through the offered payment methods and payment providers. By purchasing a paid subscription, you authorise TerraQuants or the payment provider to collect the amounts due periodically in accordance with the selected plan.

You are responsible for correct billing details and for having sufficient funds or a valid payment method.

In the event of failed payment, TerraQuants may suspend, downgrade or terminate access to paid functionalities after reasonable reminders have been sent, unless mandatory law provides otherwise.

TerraQuants does not itself store full credit card details unless expressly stated otherwise. Payments are processed by an external payment provider.

12. Automatic renewal and cancellation

Paid subscriptions renew automatically for the selected billing period unless you cancel before the end of the then-current period or unless otherwise agreed.

You can cancel through your account settings, through the online functionality provided for that purpose or by contacting support at support@terraquants.com.

For consumers, the mandatory statutory rules on cancellation, automatic renewal and the right of withdrawal always apply. After cancellation, you retain access to paid functionalities until the end of the period already paid for, unless the law or a specific promotion provides otherwise.

TerraQuants may terminate a subscription in the event of a serious or repeated breach of these Terms, misuse, fraud, unauthorised use, security risks, non-payment or legal obligations.

13. Right of withdrawal for EU consumers

If you are a consumer in the EU/EEA or in another country with comparable mandatory consumer rights, you generally have the right, when purchasing a paid subscription online, to withdraw from the agreement within 14 days without giving reasons.

The withdrawal period begins on the day on which the agreement is concluded.

You may withdraw via the account functionality, by email to support@terraquants.com or by using the model withdrawal form at the end of these Terms.

If, during the withdrawal period, you request immediate access to digital services or digital content, you agree that TerraQuants may begin performance during the withdrawal period. To the extent permitted by law, this may mean that your right of withdrawal expires or that TerraQuants may charge a proportionate fee for the period during which the service was provided before withdrawal.

Mandatory consumer rights always remain applicable.

14. Refunds

TerraQuants provides refunds where legally required, for example in the case of a valid withdrawal by a consumer within the statutory period.

For business users and outside statutory withdrawal rights, subscription fees are in principle non-refundable, unless TerraQuants decides otherwise or has agreed otherwise in writing.

Refunds will be paid using the same payment method, unless otherwise agreed or technically impossible.

15. Acceptable use

You may not use TerraQuants for:

  • illegal activities, market abuse, fraud, money laundering, sanctions evasion or other prohibited purposes;
  • disrupting, overloading, hacking, reverse-engineering or circumventing the Platform;
  • scraping, crawling, bulk downloading, data mining or model extraction without permission;
  • sharing, republishing, selling or exploiting TerraQuants data or research outside your permitted use;
  • uploading or transmitting malware, harmful code or unlawful content;
  • misusing APIs, webhooks, rate limits or technical restrictions;
  • using the Platform to provide financial advice to third parties without your own legal authorisation;
  • infringing intellectual property rights, privacy rights or contractual rights of third parties.

TerraQuants may monitor use to prevent misuse, fraud, security incidents and breaches of these Terms.

16. APIs, webhooks and technical integrations

APIs, webhooks and technical integrations may be used only in accordance with the documentation, rate limits, authentication requirements and applicable subscription terms.

TerraQuants may change or terminate APIs, endpoints, data fields, limits and access for security, technical, commercial or legal reasons.

You are responsible for your own systems, integrations, storage, security, backups and use of API output. You may not use API output for high-risk decisions or automated trade execution without your own controls, risk management and compliance with applicable law.

17. Portfolio tools and user data

If TerraQuants offers portfolio tools, users may enter or connect portfolio information, holdings, transactions, wallet addresses, exchange data or other data.

Users are responsible for the accuracy, completeness and lawfulness of this data. TerraQuants does not necessarily verify whether entered portfolio data is correct.

Portfolio overviews, P&L, drawdown, VaR, Sharpe, beta, risk scores, allocation information and other analytics are indicative and may be inaccurate, delayed or incomplete. They do not constitute advice and do not guarantee risk reduction or returns.

18. Alerts and notifications

Alerts, emails, push notifications, webhooks and other notifications are tools. They may be delayed, incorrect, not delivered or unavailable due to technical circumstances, market conditions, internet problems, provider restrictions or other causes.

Users may not rely solely on TerraQuants alerts for trading, compliance, risk management or investment decisions.

19. Research, models and data quality

TerraQuants may use its own models, external data providers, blockchain data, exchange data, market data, technical indicators and other sources.

Although TerraQuants endeavours to provide useful and reliable information, TerraQuants does not guarantee that data or models are error-free, complete, current, real-time, suitable or available without interruption.

Data may be affected by chain reorganisations, exchange outages, API failures, data provider errors, liquidity issues, manipulation, bugs or model limitations.

20. Intellectual property

All rights in TerraQuants, including software, dashboards, models, research, indicators, visualisations, signals, texts, designs, database rights, trademarks, trade names, logos, documentation and know-how, remain the property of TerraQuants or its licensors.

You receive only a limited, revocable, non-exclusive, non-transferable right to use TerraQuants for your own internal research and analytical purposes, in accordance with your subscription and these Terms.

Without prior written consent, you may not copy, republish, resell, sublicense, disclose, scrape, reverse-engineer or use TerraQuants content for competing products, nor use it to train or build datasets, models or research products of third parties.

21. User content and feedback

If you provide feedback, suggestions, bug reports, feature requests or other input to TerraQuants, TerraQuants may use these to improve its products and services without compensation to you, to the extent permitted by law.

If you upload or enter content or data, you retain your rights in that content or data. You grant TerraQuants a licence to process such data for the purpose of providing, securing, maintaining and improving the service, as further described in the Privacy Policy.

22. Confidentiality

Non-public information about TerraQuants, including beta functionalities, enterprise customer pricing, technical documentation, API keys, security information and unpublished research, must be treated confidentially.

This obligation does not apply to information that is publicly known without breach of these Terms, lawfully received from a third party or required to be disclosed by law.

23. Availability, maintenance and changes

TerraQuants strives for reliable availability but does not guarantee uninterrupted access. Maintenance, outages, cyber incidents, updates, data provider problems, force majeure or other circumstances may temporarily limit the service.

TerraQuants may change the website, app, features, content, subscriptions, prices, technical infrastructure or these Terms. In the event of material changes affecting existing paid users, TerraQuants will provide reasonable prior notice.

24. Third parties, links and external services

TerraQuants may integrate with or link to external websites, data providers, payment providers, analytics services, exchanges, wallets, cloud providers or other third parties.

TerraQuants is not responsible for the products, services, data, terms, privacy practices, availability or security of third parties. Use of third-party services is at your own risk and may be subject to separate terms.

25. Compliance, sanctions and export control

You represent that you do not use TerraQuants in breach of applicable law, including sanctions rules, export controls, anti-money laundering rules, market abuse rules, privacy laws, consumer law and financial regulations.

You may not use TerraQuants from countries, or by persons, for which access is prohibited under applicable sanctions or export rules.

TerraQuants may restrict, block or terminate access where necessary for compliance, risk management, sanctions screening, fraud prevention or legal obligations.

26. Privacy and data protection

TerraQuants processes personal data in accordance with the Privacy Policy available on the website. The Privacy Policy forms an integral part of these Terms to the extent it refers to the use of TerraQuants.

27. Liability

To the extent permitted by law, TerraQuants is not liable for indirect damage, consequential damage, loss of profit, lost savings, trading losses, investment losses, loss of data, reputational damage, business interruption or damage resulting from the use of or reliance on TerraQuants content, signals, risk scores, alerts, APIs or models.

For consumers, this limitation of liability does not affect mandatory statutory rights.

Nothing in these Terms limits liability to the extent such limitation is not permitted by law.

28. Indemnity by business users

Business users indemnify TerraQuants against claims, fines, damages, costs and expenses of third parties arising from their use of TerraQuants, breach of these Terms, unlawful use of data, violation of laws or use of TerraQuants content in their own services to third parties.

29. Force majeure

TerraQuants is not liable for delay or failure caused by circumstances beyond its reasonable control, including internet outages, data provider problems, cloud outages, cyberattacks, government measures, war, strikes, pandemics, power outages, blockchain outages, exchange outages or changes in laws and regulations.

30. Complaints and support

Complaints may be submitted via support@terraquants.com or the contact form. TerraQuants will handle complaints as soon as possible and within a reasonable period.

Consumers retain the right to submit complaints to competent supervisory authorities, consumer bodies or courts. The former European ODR platform is no longer available.

31. Governing law and disputes

These Terms are governed by Dutch law, unless mandatory consumer law of another country provides otherwise.

Disputes will be submitted to the competent court in the Netherlands, unless mandatory law designates another competent court.

Consumers always retain the protection of mandatory consumer laws in their country of residence, to the extent such protection cannot be contractually excluded.

32. Transfer

TerraQuants may transfer rights and obligations under these Terms to an affiliated company, legal successor, purchaser of assets or business, or in the context of a restructuring, merger or acquisition.

Users may not transfer their rights or obligations without TerraQuants' prior written consent.

33. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in force. The invalid provision will be replaced by a valid provision that most closely reflects the purpose of the original provision.

34. Model withdrawal form for EU consumers

Use this form only if you wish to withdraw from the agreement.
